2. Description of Services

NexScale provides B2B data infrastructure services, including:

  • Lead generation and prospecting data
  • Email verification and validation services
  • Intent signal analysis
  • Data enrichment services
  • CRM integrations and data delivery

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time.

3. Account Registration

To access certain features of our services, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information as needed
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree to use our services only for lawful purposes. You may not:

  • Violate any applicable laws or regulations, including CAN-SPAM, GDPR, CCPA, or other data protection laws
  • Send unsolicited communications in violation of anti-spam laws
  • Use our data for harassment, fraud, or any illegal activity
  • Resell, redistribute, or sublicense our data without authorization
  • Attempt to reverse engineer, decompile, or extract our algorithms
  • Interfere with or disrupt the integrity of our services
  • Use automated systems to access our services beyond permitted API usage
  • Circumvent any access controls or usage limits

5. Data Usage and Compliance

You acknowledge and agree that:

  • You are solely responsible for your use of data obtained through our services
  • You will comply with all applicable data protection and privacy laws
  • You will use the data only for legitimate B2B marketing and sales purposes
  • You will honor opt-out requests and maintain suppression lists
  • You will not use the data for consumer marketing or personal purposes

6. Payment Terms

For paid services:

  • Fees are as quoted at the time of purchase or as specified in your service agreement
  • Payment is due according to the billing cycle selected
  • All fees are non-refundable unless otherwise specified
  • We may change pricing with 30 days' notice
  • Failure to pay may result in suspension or termination of services

7. Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, and software, are owned by NexScale and protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use our services in accordance with these Terms. This license does not include the right to:

  • Modify or create derivative works
  • Use any data mining or similar data gathering methods
  • Download or copy account information for others' benefit
  • Use any meta tags or hidden text utilizing our name or trademarks

8. Data Accuracy

While we strive to provide accurate and up-to-date information, we do not guarantee the accuracy, completeness, or reliability of any data provided through our services. Data is provided "as is" and you use it at your own risk.

Our deliverability guarantees are subject to the terms specified in your service agreement.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXSCALE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OUR SERVICES.

Our total liability for any claims arising from these Terms or your use of our services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless NexScale and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any applicable laws
  • Your violation of any third-party rights

11. Termination

We may terminate or suspend your access to our services immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:

  • Your right to use our services will immediately cease
  • You must destroy any data obtained through our services (unless legally required to retain)
  • Provisions that by their nature should survive will remain in effect

12. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association. You waive any right to participate in class actions.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after changes constitutes acceptance of the modified Terms.
